Work scope
Deliverables: The number of final, edited reels, their length, and the format.
Platforms: Indicates which social media platforms the content is for (e.g., Instagram, TikTok, LinkedIn).
Client assets: Client is responsible for providing, brand guidelines, logos, access to accounts, and specific footage.
Exclusions: not included raw footage.
Payment terms
Project fee: The total cost, including any add-ons for usage rights.
Payment schedule: 50% deposit upfront and the final 50% upon project completion.
Payment method: ACH for amounts over $250, Website checkout, Google pay.
Late fees: 2% per month.
Revision process
Number of rounds: Two (2) rounds of revisions are included at no extra cost.
Additional charges: $20 fixed rate per revision requested after the initial rounds have been used.
Approval process: Approval of content confirmed by email.
Timeline and deadlines
Start and end dates: The overall timeframe for the project.
Key milestones: Deadlines for delivering initial concepts, first drafts, and final files.
Client feedback: A specified deadline for the client to provide feedback on deliverables. This prevents project delays caused by a client's slow response.
Confidentiality
Definition of confidential information: Business strategies, financial information, & unreleased product details.
Obligations: Both parties are required to protect the confidentiality of such information during and after the contract.
Duration: For 5 years.
Indemnification
This clause protects Patrick Hernandez from legal action caused by the client's actions, and vice-versa. For example, if a client provides Patrick with unlicensed music and he uses it in a reel, this clause holds the client financially responsible for any resulting copyright infringement claims.
Client's indemnification: The client will cover Patrick Hernandez’s costs and damages if a third party sues over content the client provided (e.g., using a copyrighted photo).
Patrick Hernandez’s indemnification: Patrick Hernandez covers the client’s costs if a third party sues the client over something he did wrong (e.g., defaming a competitor).
Termination clause
Notice period: 5 business days that the terminating party must provide in writing.
Kill fee: The portion of the project fee that the client owes if they cancel the project for convenience, compensating for the work already completed. 80%
Breach of contract: The conditions under which either party can terminate due to a breach of the agreement by the other party.
