Terms of Service
Article 1: Definitions
Cornbread Ads LLC (Referred to as "Provider," "We," or "Us").
Client (Referred to as "Client" or "You").
Deliverable (The final 15-second or 30-second social media reel/short, excluding raw footage unless purchased under Option 3).
Service Fee (The total cost, including Production Cost plus the selected Usage Rights Fee).
Usage Rights (The license purchased by the Client as defined in Article 5).
Article 2: Scope of Work and Client Responsibilities
Service Provided: Provider agrees to produce social media reels/shorts according to the specifications outlined in the final order.
Client Input: The Client is responsible for timely delivery of all necessary assets, including raw footage, logos, and a clear script/outline. Failure to provide assets or direction may delay the timeline, and the initial 50% fee is non-refundable after 48hrs from purchase agreement.
Revisions: The Service Fee includes two (2) rounds of revisions. Additional revisions may be requested and will be billed at an hourly rate of $50/hour.
Article 3: Payment and Fees
Initial Payment: 50% of the Production Cost is required to commence work. This fee becomes non-refundable after 48 hours.
Final Payment: The remaining Production Balance and the full Usage Rights Fee are due upon the Client's final approval of the Deliverable, and before final file delivery.
Retainer Payment (Cornbread Content Partner): Fees are due on the 1st & 15th of each month. A minimum commitment of three (3) consecutive months is required. Termination prior to the minimum term will result in a penalty equal to the remaining fees due.
Article 4: Delivery and Project Termination
Delivery: Final files will be delivered in the agreed-upon format within 24 hours of receipt of the Final Payment.
Termination by Client: If the Client terminates the project after the initial 50% payment and the 48 hour window has closed for a refund, the initial payment is forfeited. If terminated after a draft is delivered, the Client must pay the full Service Fee.
Article 5: Intellectual Property and Usage Rights
Ownership Retained by Provider (Default): Except where Full Proprietary Rights are purchased, Cornbread Ads LLC retains all copyright and ownership of the raw footage and the final Deliverable. The Client is only granted the non-exclusive license corresponding to the tier purchased.
Usage License Tiers: The Client's right to use the Deliverable is determined solely by the tier purchased:
1. Organic Kick-start: Limited 30-day organic use only. No paid advertising.
2. Paid Campaign Scaler (+50%): Perpetual, non-exclusive license for paid and organic digital advertising.
3. Full Proprietary Rights (+150%): Exclusive, perpetual transfer of all copyright, ownership, and raw footage to the Client.
Provider Portfolio Rights: Notwithstanding the Usage Rights purchased, Cornbread Ads LLC reserves a limited, non-exclusive right to use the final Deliverable for portfolio and self-promotional purposes.
Article 6: Warranties and Legal Jurisdiction

6.X. Limitation of Liability
Maximum Liability: In no event shall Cornbread Ads LLC (the "Provider") or its representatives be liable to the Client or any third party for any damages arising out of or in connection with this Agreement or the services provided. The Provider’s maximum aggregate liability to the Client for any and all claims shall be limited to the total amount of the Service Fees actually paid by the Client to the Provider under this Agreement.
Exclusion of Consequential Damages: The Provider shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including, but not limited to, lost revenue, lost profits, lost data, or interruption of business, regardless of the form of action, whether in contract, tort (including negligence), or otherwise, even if the Provider has been advised of the possibility of such damages.
Disclaimer of Performance Guarantee: The Provider makes no warranty or guarantee regarding the actual results, performance, conversion rates, or effectiveness of any advertising campaign or marketing strategy utilizing the Deliverable. The Client assumes all risk and responsibility for any loss or damage resulting from the use or inability to use the Deliverable for their intended purpose.
Force Majeure: The Provider shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, embargoes, fire, floods, natural disasters, or labor disputes.
